Xantrex Proposes Changes to Board of Directors at the Annual General Meeting

VANCOUVER, April 7 /PRNewswire-FirstCall/ -- Xantrex Technology Inc. (TSX:XTX) announced today that it is proposing changes to its Board of Directors. The changes are subject to approval by shareholders at the Annual General Meeting, which is scheduled for May 13, 2005.

The changes include two new nominees, Fares Boulos and Larry Sanders. Existing director Lisa Melchior, a Vice President of Toronto-based OMERS Capital Partners, has agreed to step down. As a result, the size of the Board would increase to ten members from nine for a smooth transition of the Board from venture capitalists to people with experience in operations. Mr. Boulos, of North Vancouver, BC, is Adjunct Professor of Strategy at INSEAD, the international business school based in France, and Adjunct Professor of Strategic Management at the University of Toronto's Rotman School of Management, where he is also a member of the Dean's Advisory Board. From 1985 to 1999, Mr. Boulos held senior positions in the investment industry, including Vice President and Director of Research for Wood Gundy (now CIBC World Markets), Portfolio Manager at Jarislowsky Fraser, and Vice President and Director of Research, at Goepel McDermid (now Raymond James Canada Ltd). He holds an M.B.A. in Business Administration and B.Sc. from the University of Toronto.

Larry Sanders, of La Quinta, CA, has been a consultant to the Dionysus Company since 2003, when he retired from the information technology industry. He has more than 30 years experience in sales, marketing and general management in both the U.S and international markets, including CEO of Sanera Systems, a startup storage networking company, from 2002 until 2003, CEO of Crossroads Systems Corporation from 2000 to 2002 and CEO of Fujitsu Computer Products of America 1995 to 1999. He has served as Group President of Calcomp, a subsidiary of the Lockheed Corporation and Vice President, International for Conner Peripherals, a disk drive company.
